“Prexnova” means Prexnova, LLC, a Michigan limited liability company.

“Provider” means an independent, appropriately licensed healthcare professional.

“User,” “you,” “your” means any individual accessing or using the Website.

2. ACCEPTANCE OF TERMS; ASSENT; ELIGIBILITY

By accessing, browsing, submitting any form, or otherwise using the Website, you affirmatively agree to be bound by these Terms.

You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and legally capable of entering into this agreement.

Electronic Agreement. You agree that these Terms constitute a binding electronic contract and that your actions (including checking an assent box or submitting a form) constitute an electronic signature.

If you do not agree to these Terms, do not use the Website.

3. PREXNOVA’S ROLE — NON-CLINICAL MSO

Prexnova operates solely as a non-clinical administrative and management services organization.

Prexnova does not:

practice medicine,

diagnose or treat medical conditions,

prescribe medications, or

control clinical decision-making.

Any medical or telehealth services referenced on the Website are provided solely and independently by licensed Providers who are not employees, agents, partners, or joint venturers of Prexnova.

4. NO MEDICAL ADVICE; NO EMERGENCY SERVICES

All information on the Website is provided for general educational and informational purposes only.

Nothing on the Website constitutes medical advice, diagnosis, treatment, or emergency care, and nothing creates a provider-patient relationship with Prexnova.

If you believe you are experiencing a medical emergency, call 911 or seek immediate local emergency care.

5. TELEHEALTH LIMITATIONS; USER RESPONSIBILITIES; ASSUMPTION OF RISK

You acknowledge that telehealth services have inherent limitations and may not be appropriate for all conditions.

You agree to provide accurate, complete, and current information. You understand that recommendations may be limited by the nature of remote communication and the information you provide.

To the maximum extent permitted by law, you assume all risks arising from your use of the Website, reliance on information provided, and participation in telehealth-related interactions.

6. SUPPLEMENTS; WELLNESS INFORMATION; NO GUARANTEES

Any discussion of supplements, wellness protocols, or lifestyle guidance is general in nature.

No results are guaranteed. Individual outcomes vary, and no statement on the Website should be interpreted as a promise or guarantee of results.

7. WEBSITE PROVIDED “AS IS”; NO WARRANTIES

To the maximum extent permitted by Michigan law, Prexnova disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

9. MANDATORY NOTICE-AND-CURE FOR ACCESSIBILITY CLAIMS

Allow Prexnova thirty (30) days from receipt of notice to investigate, cure, provide alternative access, or propose a reasonable accommodation.

Failure to comply with this notice-and-cure requirement constitutes a failure to mitigate and limits or bars relief to the maximum extent permitted by law, including limitations on injunctive relief and any claim for attorneys’ fees or costs where legally permissible.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Prexnova shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or emotional distress damages.

Prexnova’s total liability for any claim arising out of or relating to the Website or these Terms shall not exceed the greater of (a) $100 or (b) the amount paid by you, if any, for Website access.

This limitation does not apply to liability that cannot be limited under applicable law.

11. USER INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Prexnova and its members, managers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to:

your use of the Website,

your violation of these Terms,

information you submit,

your device, browser, configurations, or assistive technology.

12. PROHIBITED USES

You may not use the Website to:

violate any law or regulation;

submit false or misleading information;

access non-public systems without authorization;

scrape, crawl, or harvest data without written permission;

interfere with Website security, performance, or accessibility testing;

introduce malware or harmful code.

13. GOVERNING LAW

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles.

14. EXCLUSIVE VENUE & JURISDICTION (MICHIGAN)

Except where prohibited by non-waivable law, any action arising out of or relating to the Website or these Terms shall be brought exclusively in the state courts of Michigan located in the county of Prexnova’s principal place of business, and you irrevocably consent to personal jurisdiction and venue in those courts.

If a court determines a claim must be brought in another forum as a matter of non-waivable law, the proper forum shall be the closest available court located in Michigan to the maximum extent permitted.

15. ARBITRATION AGREEMENT (MOST DISPUTES)

Except for claims seeking injunctive or equitable relief related to Website accessibility or claims that cannot legally be arbitrated, any dispute arising out of or relating to these Terms or the Website shall be resolved by binding arbitration seated in Michigan, under Michigan law.

Arbitration shall be conducted on an individual basis only. To the maximum extent permitted by law, you and Prexnova waive any right to participate in a class, collective, or representative action.

16. MODIFICATIONS

Prexnova may modify the Website or these Terms at any time. Changes are effective upon posting. Continued use constitutes acceptance.

17. SEVERABILITY; SURVIVAL; ENTIRE AGREEMENT

If any provision is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remainder shall remain in full force.

Provisions regarding limitation of liability, indemnification, venue, arbitration, and governing law survive termination.

These Terms constitute the entire agreement regarding Website use.
